Job Title: Technology Attorney
About the Role:
We are seeking a highly skilled and experienced Technology Attorney to manage legal and business matters related to technology services, software licensing, SaaS agreements, and commercial transactions for the US market while working in Kolkata, India. This role will be instrumental in negotiating and drafting technology agreements, including SaaS subscriptions, master service agreements, software licensing arrangements, professional services agreements, vendor contracts, advertising technology agreements, film post-editing and post-production services agreements, and technology partnerships. The ideal candidate will have a strong background in technology law, commercial transactions, and data privacy regulations.
The attorney will work cross-functionally across the organization, providing legal guidance and ensuring compliance while supporting commercial transactions, technology operations, and deal flows. This is an exciting opportunity to be at the forefront of technology services, advertising technology, media production services, and software business strategies in an evolving digital landscape.
Key Responsibilities:
- Draft, review, and negotiate technology-related agreements, including SaaS agreements, Master Service Agreements (MSAs), Statements of Work (SOWs), software licensing agreements, professional services agreements, vendor agreements, partnership agreements, advertising technology agreements, film post-editing and post-production services agreements, and other commercial contracts for US and global markets.
- Provide strategic legal counsel on business activities, ensuring alignment with corporate goals and risk management strategies.
- Structure and execute commercial transactions, manage deal flows, and facilitate contract execution.
- Collaborate with internal teams, including technology, product, finance, procurement, security, compliance, and operations, to ensure smooth and legally sound business operations.
- Advise on legal aspects of software licensing, technology services, SaaS offerings, cloud-based solutions, advertising technology services, media production services, and commercial agreements.
- Ensure compliance with data privacy laws and regulations, including GDPR, CCPA, and other applicable global data protection requirements.
- Identify and mitigate legal risks while supporting business initiatives, product development, customer engagements, and growth strategies.
- Maintain daily email and chat communication with the Chief Legal Officer in the USA, along with external counsel, customers, vendors, and regulatory bodies as needed.
- Participate in daily, weekly, and monthly calls with internal and external stakeholders during US business hours.
Qualifications:
- B. or equivalent legal degree with strong experience in technology law, commercial contracting, SaaS agreements, software licensing, advertising technology agreements, film post-production/post-editing agreements, or a similar technology-focused industry.
- 3+ years of experience in legal drafting, negotiations, software licensing, advertising technology agreements, technology transactions, trademarks, and commercial agreements and business affairs within the technology, software, SaaS, IT services, advertising technology, media production, or related industries.
- Expertise in handling complex commercial transactions, structuring deals, and negotiating technology-focused agreements.
- Strong knowledge of global data privacy laws and regulations, including GDPR, CCPA, and other applicable data protection frameworks.
- Experience working with cross-functional teams and supporting contract negotiations, vendor management, procurement activities, and commercial deal execution.
- Excellent English communication, negotiation, and analytical skills.
- Ability to manage multiple priorities in a fast-paced, dynamic environment.
Preferred Qualifications:
- Experience working in a software company, SaaS organization, technology services firm, cloud services provider, advertising technology company, film or media production company, post-production studio, or enterprise technology business.
- Familiarity with SaaS subscription agreements, cloud services agreements, vendor management, procurement contracts, and technology partnership arrangements as well as advertising technology and media services agreements.
- Proven ability to navigate evolving technology regulations, cybersecurity requirements, software licensing models, and industry trends.
